Announcement of Open Season and Description of Project
Venture Global CP Express, LLC (“CP Express”) is conducting a binding open season (“Open Season”) to solicit commitments for additional firm natural gas pipeline transportation capacity on the CP Express pipeline. The CP Express pipeline was approved by the Federal Energy Regulatory Commission (“FERC”) in FERC Docket No. CP22-22 and is currently under construction.
The proposed project is designed to create additional firm transportation capacity on the CP Express pipeline for delivery to the CP2 LNG Terminal that is currently under construction by Venture Global CP2 LNG, LLC (“CP2 LNG”) in Cameron Parish, Louisiana.
The proposed project will involve the construction of: (1) the Silsbee Compressor Station with approximately 275,000 Hp of compression; and (2) approximately two miles of 48-inch pipeline. A map showing the location of the proposed project and the FERC-approved CP Express pipeline facilities is included as Exhibit A.
The proposed project will create approximately 1,900,000 Dekatherms per day (Dt/d) of additional firm transportation capacity on the CP Express pipeline. Following completion of the project, the CP Express mainline will have a maximum allowable operating pressure of 2,100 pounds per square inch gauge (psig). CP Express anticipates filing an application wit the (“FERC”) for authorization under Section 7(c) of the Natural Gas Act to construct, own and operate the project facilities shortly after the successful completion of this Open Season.
The targeted in-service date for the project is July 2028. The in-service date is subject to the receipt of the necessary regulatory approvals and construction of the proposed project by that date.
Rate and Term
CP Express intends to propose in its FERC Application that the incremental capacity is offered under an incremental Rate Schedule FT rate. The rate must be presented as either the recourse reservation rate that is approved and accepted by the FERC (currently estimated to be $0.20), or a proposed discounted or negotiated rate. Usage charges, Annual Charge Adjustment charges, Gas Research Institute charges, compressor station fuel, Lost and Unaccounted for gas and any other authorized surcharges, if any, will be in addition to the Shipper’s reservation rates. The requested primary contract term must be in whole year increments and reflect a contract term of at least 20 years from the commencement of service for the project. Potential customers must be prepared to proceed immediately with execution of a precedent agreement upon the terms bid.
Anchor Shipper Status
All interested parties are being provided with an opportunity to attain “Anchor Shipper” status for this project. To qualify as an Anchor Shipper, a party must submit a binding and conforming bid that includes:
- A term of no less than 20 years;
- The primary receipt location of the proposed interconnection between CP Express and BlackFin Pipeline, LLC;
- The primary delivery location of the proposed interconnection between CP Express and CP2 LNG;
- A rate no less than the existing maximum reservation and usage rates, plus fuel and other applicable rates, charges, and surcharges as set forth in the Tariff; and
- A firm transportation service capacity of no less than 1,750,000 Dth/day.
Anchor Shippers shall have the following rights:
- The right to allocation of capacity before other shippers, as described below;
- The right to up to four (4) successive five-year (5-year) extended terms after the end of the primary term; A contractual Right of First Refusal “ROFR”; and
- The right to terminate the executed Precedent Agreement and the service agreement, as applicable, if a FERC order related to the incremental firm capacity, which has become final and is no longer subject to further rehearing, includes a material change to any of the Anchor Shipper rights
Unique credit terms specific to this project may be applicable beyond what is currently listed in CP Express’s pro forma FERC Gas Tariff. Any entity interested in becoming an Anchor Shipper should submit a Request Form in accordance with these terms, and will be provided CP Express’s form of precedent agreement applicable to Anchor Shippers.
Open Season Timing, Allocation of Capacity, and Contracting for Service
CP Express is conducting this Open Season for proposed firm capacity on its system commencing February 11, 2026, and extending to 5:00 pm (EST) February 25, 2026. Binding bids for capacity must be received by CP Express by no later than that deadline. Bids shall be provided on a Request Form that shall include: the Shipper name, contact information for the Shipper, the desired maximum daily transportation quantity, contract term, desired receipt and delivery point(s) with associated quantities, and proposed reservation rate (either the maximum recourse reservation rate that is approved by the FERC or a proposed discounted or negotiated rate).

Upon receipt of all timely submitted Request Forms, CP Express will evaluate the total capacity requested pursuant to conforming requests and, if necessary, make an allocation under the process described below.
In the event more capacity is requested than is available, CP Express will allocate capacity on a not unduly discriminatory basis, first to any party qualifying as an Anchor Shipper based on the highest net present value for each offer, and then among other Shippers based on the highest net present value for each offer.
CP Express reserves the right to modify or alter the design and configuration of the project and services contemplated herein, if necessary, as dictated by economic, environmental, regulatory and legal factors. CP Express also reserves the right, in its sole discretion, to decline to proceed with any interstate transportation service, including for service for which CP Express has requested bids in this Open Season. CP Express reserves the right to reject any and all bids for transportation service for any reason. No request for service will be binding on CP Express, or the requesting party, unless and until duly authorized representatives of both parties have executed binding legal agreements. Any bid that does not result in an executed Precedent Agreement by the end of March 2026 shall be deemed to be rejected by CP Express.
